J. Allen Kosowsky is a highly experienced and credentialed Independent Director, and Financial Consultant. His capabilities are rooted in a deep financial and operations underpinning, including COO / CFO for two mid-cap companies, and service on six Boards. He is a Forensic Accountant, Independent Financial Expert for SEC and NYSE purposes, and Cybersecurity credentialed. Allen is also Sox qualified as an Audit Chair. Kosowsky’ s career has been a steady state of building one experience upon another including strategic planning, enterprise risk management, line responsibility as a COO/CFO as well as an interim CFO of public companies. He understands rollup strategies having been part of a banking rollup at Webster Financial Corp. and recently at Thor Industries, Inc. His deep subject matter experience in accounting, auditing, SEC reporting, taxation and dispute resolution uniquely positions him for a company that is repositioning itself or growing by way of acquisition strategy where SARBOX controls and Audit Committee requirements are paramount. Recent emphasis as Chairman of Nominating and Governance Committee at Thor Industries, Inc. has culminated in his receipt of the NACD Board Leadership Fellow Credential. The Nominating and Governance experience has deepened his approach to board refreshment, onboarding of new members, CEO succession and Board Committee rotation. His earliest audit career began with Ernst & Young (then Arthur Young). Today, Allen leads J. Allen Kosowsky, CPA, PC, a forensic accounting and business advisory firm he founded in 1985 to provide expert investigative and litigation support to law firms, as well as tax, accounting, business valuation and intellectual property valuation and financial advice to both public and private firms. He has also served,as an Interim CFO. The successful theme of all of his work is a decisive, collaborative and rigorous approach to decision-making. Allen is on the Board of Thor Industries, the world’s largest manufacturer of recreation vehicles, where he serves on the Audit Committee, and Chairs the Nominating and Governance Committee, and BlackRidge Technology International, a pioneering Cyber Defense company. He also served on the Boards of Naugatuck Valley Corporation, a $500 million publicly traded bank, ON2 Technologies, acquired by Google, where he performed as Chairman of the Board, Chairman of the Audit Committee, the Executive Committee and the Governance & Nominating Committees, Webster Bank (a $25 billion major New England financial institution), and Shelton Bancorp. He holds his Leadership Fellow governance accreditation with The National Association of Corporate Directors (NACD). Kosowsky received his Bachelor of Science degree from American International College in Springfield, Massachusetts. He is a CPA. Certified Valuation Analyst, Certified in Financial Forensics (AICPA), Certified Fraud Examiner, Accredited Business Valuator (AICPA), Personal Financial Specialist (AICPA), Tax Specialist, Arbitrator with The American Arbitration Association. His memberships include the American Institute of Certified Public Accountants, the Connecticut Society of Certified Public Accountants, the National Association of Certified Valuation Analysts, the Association of Certified Fraud Examiners, and the American Arbitration Association. He also holds the title of Wharton Fellow after successfully completing the Program at the U-Penn’s Wharton School of Business. Allen resides with his wife in Shelton, CT, and enjoys his grandchildren and family, golf, gardening, reading, and the stock market.
